Article I – Name and Authorization

This organization shall be called “The board of Trustees of the Faith Public Library, existing by virtue of the provision of Chapter 14-2 of the South Dakota Codified Laws, and exercising the powers and authority and assuming the responsibilities delegated to it under the said statue.

Article II – Meetings

The regular meeting of the Library Board will be held on the third Monday of the month, excluding July and December, in the Library at 6:00 PM. Special meetings can be called by the chairperson or upon the written request of two members for the transaction of business stated in the call for meeting.

Article III – Officers

Board officers shall be as follows: Chairperson, Vice-Chairperson and Secretary. The Library Supervisor shall serve as secretary/treasurer for the Board. All other officers shall be elected (at subsequent interval years) from among the trustees at the regular April meeting. Each officer shall serve a term of one year in such office, and may be re-elected in subsequent years.

The Chairperson shall preside at all meetings, write and distribute an agenda, appoint the committees, certify the bills by the Board, speak to the press or the patrons on behalf of the consensus of the Board, authorize calls for any special meetings and generally perform official duties.

In absence of the Chairperson, the Vice-Chairperson shall perform all duties authorized for the Chairperson.

The Board secretary/treasurer shall keep a true and accurate account of proceedings of the board meetings, issue notices of proceedings of the board meetings, issue notices of all regular meetings, and on the authorization of the chairperson, of all special meetings and other records of the Board, and shall notify the appointing body of any vacancies on the Board.

The secretary/treasurer shall have direct charge of any funds. The secretary/treasurer shall have charge of such library funds, shall control a checking and/or savings account(s) at the Board’s authorization and report at each meeting on the state of those funds. The board secretary/treasurer cannot count as a voting board member or part of the quorum.


Article IV – Committees

Special committees for the study and investigation of special problems or for the accomplishment of a particular project may be appointed by the chairperson to serve until they have completed the work for which they were appointed.

Article V – Quorum

A quorum for the transaction of business shall consist of four voting members of the Board.

Article VI – Librarian

The librarian is the Board’s executive officer and shall have charge of administering the library under the Board’s direction and review. The librarian shall be responsible for the employment and direction of the staff, for the efficiency and professionalism of the library, its prescribed service to the public and for the operation of the library under the financial constraints set forth in the annual budget. The librarian shall attend all meetings except those at which his/her employment or salary is to be discussed.

Article VII – Order of Business

The general order of business at the regular meetings shall be as follows: (The agenda may also be amended or altered as deemed necessary by order of the Chairperson asking for such changes.)

Article VIII – Amendments

These by-laws may be amended by a simple majority of the members present at any regular board meeting that has a quorum, provided that the amendment was stated in the call for the meeting in which was mailed/sent to members at least one week prior.




Article IX – Attendance

All members of the Library Board of Trustees must be present at a minimum of seven regular board meetings in one appointment year (May to May) to maintain voting status. The Board will use discretion about validity of absentees and appointing replacements.

The Faith Public Library will be administered and managed under the newest edition of the following manuals and policies:

We will endeavor to meet minimum standards for the Public and School Libraries as recommended by the State of South Dakota.
